2. Definitions

For the purposes of this Policy, the following terms shall have the meanings ascribed to them below:
"Personal Data" or "Personal Information" means any information that identifies, relates to, describes, is reasonably capable of being associated with, or could reasonably be linked, directly or indirectly, to a particular individual or household, including but not limited to names, postal addresses, email addresses, Internet Protocol (IP) addresses, device identifiers, browsing history, and professional contact information.
"Processing" means any operation or set of operations performed on Personal Data, whether or not by automated means, including collection, recording, organization, structuring, storage, adaptation, retrieval, consultation, use, disclosure by transmission, dissemination, or otherwise making available, alignment, combination, restriction, erasure, or destruction.
"Controller" means the natural or legal person, public authority, agency, or other body which, alone or jointly with others, determines the purposes and means of the Processing of Personal Data. For purposes of this Policy, CUTWORX USA is the Controller with respect to Personal Data collected through the Site.
"Processor" or "Service Provider" means a natural or legal person, public authority, agency, or other body which processes Personal Data on behalf of the Controller pursuant to a written agreement.
"Third-Party Data Partner" means any external platform, vendor, or service provider engaged by CUTWORX USA to perform visitor identification, lead enrichment, behavioral analytics, or marketing intelligence functions, including but not limited to Apollo.io, Leadinfo, ZoomInfo WebSights, and RB2B.
"Sensitive Personal Information" means a subset of Personal Data that includes, without limitation, government-issued identification numbers, financial account information, precise geolocation data, racial or ethnic origin, religious beliefs, health information, and biometric data.
"Consent" means any freely given, specific, informed, and unambiguous indication of a data subject's wishes by which they, by a statement or by a clear affirmative action, signify agreement to the Processing of Personal Data relating to them.
"Sale" or "Sharing" of Personal Information, as used in the context of the California Consumer Privacy Act (CCPA) and its amendments under the California Privacy Rights Act (CPRA), means the disclosure of Personal Information to a third party for monetary or other valuable consideration, or the sharing of Personal Information with a third party for cross-context behavioral advertising purposes, regardless of whether monetary consideration is exchanged.


3. Information We Collect

3.1 Information You Provide Directly

CUTWORX USA collects Personal Information that you voluntarily provide to us through the Site or through direct communications. Such information may include, without limitation:
Full legal name and business name;
Billing address, shipping address, and other postal information;
Email address and telephone number;
Payment card information and financial account details, which are processed through PCI-DSS compliant third-party payment processors and are not stored directly on our servers;

The provision of certain categories of Personal Information is a prerequisite to completing a commercial transaction through the Site. Where provision is voluntary, failure to provide such information will not affect your ability to access the Site, though it may limit the services we are able to provide to you.

CUTWORX USA engages Third-Party Data Partners to perform company-level and, in certain instances, individual-level visitor identification and lead enrichment activities. Through these partnerships, we may collect or receive information including:
The name, industry, size, and geographic location of the company associated with a visitor's IP address;
The email domain of the visiting organization;
The professional identity of individual visitors, including name, work email address, and LinkedIn profile URL, where such information is resolved through person-level identification services;
Visit frequency, page-level intent signals, and behavioral engagement data; and
Attribution data linking a visit to a specific referring source or marketing campaign.
The specific Third-Party Data Partners engaged by CUTWORX USA, and the nature of the data each collects, are described in detail in Section 4 of this Policy.


4. Cookies, Tracking Technologies, and Third-Party Data Partners

4.1 Overview of Tracking Technologies

The Site employs a range of tracking technologies to support its operational, analytical, and commercial functions. These technologies include first-party cookies set under the cutworxusa.com domain, third-party scripts loaded from external domains, pixel tags embedded in web pages and email communications, and session replay or heatmapping tools. Each of these technologies may collect data about your interactions with the Site, which may be combined with data held by our Third-Party Data Partners to generate enriched visitor profiles for business intelligence and marketing purposes.

Each partner operates under its own privacy policy and data processing terms, and CUTWORX USA does not control the data practices of these third parties beyond the scope of our contractual agreements with them.
Apollo.io (App ID: 696109823b8b03002110637e) is a B2B intelligence platform that performs reverse-IP lookup and visitor enrichment services. When the Apollo.io tracking script is active on the Site, it collects visitor IP addresses and cross-references them against Apollo's proprietary database of business entities to identify the company, industry, employee size range, and geographic location associated with the visit. Where Company & Person identification is enabled within our Apollo.io account, Apollo.io may additionally resolve individual visitor identities, including name, work email address, and professional profile data, in addition to company-level information. Leadinfo (Identifier: LI-69679E48C3A45) is a company-level visitor identification platform that tracks unique visits to the Site and associates IP addresses with known business entities. Leadinfo provides CUTWORX USA with data including company name, industry classification, company size, and behavioral engagement metrics at the company level. Leadinfo does not identify specific individual visitors through this integration. ZoomInfo WebSights is a website visitor intelligence service operated by ZoomInfo Technologies Inc. that matches visitor IP addresses and email domains against ZoomInfo's proprietary database of business entities to identify which companies are visiting the Site. ZoomInfo WebSights collects and processes IP addresses and email domain data at the company level and does not, through this integration, identify specific individual visitors. ZoomInfo WebSights places cookies on the Site to track unique visits and enable its identification functionality. RB2B (Key: 4N210HQ48W6Z) is a person-level visitor identification service that resolves anonymous website traffic to specific individual identities, including the visitor's full name, professional email address, and LinkedIn profile URL. Unlike the company-level identification services described above, RB2B processes data at the individual level and may associate your visit to the Site with personal information held in RB2B's proprietary database. When you visit or log in to our website, cookies and similar technologies may be used by our online data partners or vendors to associate these activities with other personal information they or others have about you, including by association with your email address. We, or service providers on our behalf, may then send communications and marketing to these email addresses. You may opt out of receiving this advertising by visiting app.retention.com/optout. RB2B's Terms of Service expressly state that compliance responsibility with respect to privacy law obligations arising from the use of its service rests entirely with the website administrator, and that RB2B does not independently monitor or verify user compliance. 5. How We Use Your Information

CUTWORX USA processes Personal Information collected through the Site for the following purposes, each of which constitutes a legitimate basis for processing under applicable law:
Order Fulfillment and Contract Performance. We use Personal Information you provide at checkout to process and fulfill your orders, arrange for shipping and delivery, manage returns and exchanges, issue invoices and receipts, and communicate with you regarding the status of your order. This processing is necessary for the performance of a contract to which you are a party.
Customer Support and Communications. We use your contact information to respond to inquiries, complaints, and service requests submitted to rdivarco@cutworxusa.com or through any contact form on the Site. We may retain records of such communications for quality assurance and legal compliance purposes.
Website Analytics and Performance Optimization. Selecting Decline does not affect the placement of Essential Cookies necessary for the Site to function. The platforms listed above represent those currently or recently active on the Site. As CUTWORX USA may engage additional or substitute tracking partners from time to time, we encourage you to review this Policy periodically for updates to this list.

6.3 Global Privacy Control (GPC)

The Site is configured to detect and honor Global Privacy Control (GPC) signals transmitted by your browser or browser extension. Under California law, a GPC signal constitutes a valid and legally recognized opt-out of the sale and sharing of Personal Information and must be honored automatically, without requiring any further action by the visitor. Where the Site detects a GPC signal, it will automatically suppress all non-essential tracking scripts for that session and treat the visit as subject to a "Do Not Sell or Share" instruction. CUTWORX USA's privacy policy previously stated that it did not respond to browser-based Do Not Track signals; that statement is hereby superseded with respect to GPC signals specifically, which are honored as described in this Section.

6.4 Persistent Opt-Out Link

In accordance with the requirements of the California Consumer Privacy Act and the California Privacy Rights Act, CUTWORX USA provides a persistent mechanism through which California residents and other visitors may opt out of the sale or sharing of their Personal Information at any time. A "Your Privacy Choices" link is available in the footer of the Site and may be used to access your consent preferences, withdraw previously granted consent, or submit a Do Not Sell or Share request at any time following your initial visit.


7. State-Specific Privacy Disclosures

7.1 Texas Residents — Texas Data Privacy and Security Act (TDPSA)

CUTWORX USA is a Texas-based business subject to the Texas Data Privacy and Security Act, Tex. Bus. & Com. Code Chapter 541 (the "TDPSA"), which took effect on July 1, 2024, with additional provisions effective January 1, 2025. The TDPSA grants Texas residents certain rights with respect to their Personal Data processed by covered businesses. To the extent that CUTWORX USA processes Personal Data of Texas residents in a manner subject to the TDPSA — and subject to the TDPSA's applicable exemptions, including its carve-out for data processed in a commercial or employment context — Texas residents have the following rights:
1.Right of Access: The right to confirm whether CUTWORX USA is processing your Personal Data and, if so, to obtain access to such data.
2.Right to Correction: The right to correct inaccuracies in your Personal Data, taking into account the nature of the data and the purposes for which it is processed.
3.Right to Deletion: The right to request the deletion of Personal Data that you have provided to us or that we have obtained about you.
4.Right to Portability: The right to obtain a copy of your Personal Data in a portable and, to the extent technically feasible, readily usable format.
5.Right to Opt Out: The right to opt out of the processing of your Personal Data for purposes of targeted advertising, the sale of Personal Data, or profiling in furtherance of decisions that produce legal or similarly significant effects.
To exercise any of the foregoing rights, please submit a verifiable consumer request to rdivarco@cutworxusa.com. We will respond to your request within the timeframe required by applicable law. For requests relating to Personal Data held independently by our Third-Party Data Partners, you must contact those platforms directly using the opt-out resources provided in Section 6.2, as each platform independently controls the data it holds and processes.
The Texas Attorney General has exclusive enforcement authority under the TDPSA and has demonstrated an active posture in pursuing enforcement actions against businesses that fail to comply with their obligations under Texas privacy law.

7.2 California Residents — California Consumer Privacy Act and California Privacy Rights Act (CCPA/CPRA)

CUTWORX USA acknowledges its obligations under the California Consumer Privacy Act of 2018, as amended by the California Privacy Rights Act of 2020 (collectively, the "CCPA"), with respect to Personal Information of California residents. California residents have the following rights under the CCPA:
1.Right to Know: The right to request disclosure of the categories and specific pieces of Personal Information we have collected about you, the categories of sources from which such information was collected, the business or commercial purposes for which it was collected, and the categories of third parties with whom it has been shared.
2.Right to Delete: The right to request deletion of Personal Information we have collected about you, subject to certain exceptions.
3.Right to Correct: The right to request correction of inaccurate Personal Information we maintain about you.
4.Right to Opt Out of Sale or Sharing: The right to opt out of the sale of your Personal Information or the sharing of your Personal Information for cross-context behavioral advertising purposes. CUTWORX USA acknowledges that its use of person-level visitor identification services, including RB2B, may constitute "sharing" of Personal Information for cross-context behavioral advertising under the CCPA, as RB2B's own terms characterize the relationship as one involving independent businesses for CCPA purposes. Accordingly, CUTWORX USA provides the opt-out mechanisms described in Sections 6.1, 6.2, and 6.4 of this Policy.
5.Right to Limit Use of Sensitive Personal Information: The right to limit the use and disclosure of Sensitive Personal Information to those uses necessary to perform the services or provide the goods reasonably expected by an average consumer.
6.Right to Non-Discrimination: The right not to receive discriminatory treatment for exercising any of the rights described in this Section.

You may also use the platform-specific opt-out links in Section 6.2 for data held by our Third-Party Data Partners. California residents may also authorize an agent to submit requests on their behalf, provided that the agent provides written authorization signed by the California resident.


8. Children's Privacy

The Site and the products and services offered by CUTWORX USA are directed exclusively to commercial businesses and adult professionals engaged in equipment procurement and related activities. CUTWORX USA does not knowingly collect, solicit, or maintain Personal Information from any person under the age of thirteen (13), nor does it knowingly direct marketing communications to minors. In the event that CUTWORX USA discovers or is notified that it has inadvertently collected Personal Information from a child under the age of thirteen without verifiable parental consent, it will take prompt steps to delete such information from its records. If you believe that a child under the age of thirteen has provided Personal Information to CUTWORX USA without appropriate parental consent, please contact us at rdivarco@cutworxusa.com.


9. Data Retention

CUTWORX USA retains Personal Information for as long as is reasonably necessary to fulfill the purposes for which it was collected, to comply with applicable legal obligations, to resolve disputes, and to enforce our agreements. The specific retention period applicable to any category of Personal Information will depend on the nature of the data, the purpose for which it was collected, and any applicable statutory retention requirements. Upon expiration of the applicable retention period, Personal Information will be securely deleted or anonymized in a manner that prevents its reconstruction or re-identification.


10. Data Security

CUTWORX USA implements and maintains commercially reasonable technical, administrative, and physical safeguards designed to protect Personal Information against unauthorized access, disclosure, alteration, loss, or destruction. These measures include, without limitation, encrypted data transmission via Transport Layer Security (TLS) protocols, access controls limiting data access to authorized personnel on a need-to-know basis, and periodic review of our data security practices. Notwithstanding the foregoing, no method of electronic transmission or storage is completely secure, and CUTWORX USA cannot guarantee the absolute security of any Personal Information transmitted to or stored by us. In the event of a data security incident involving your Personal Information, CUTWORX USA will notify affected individuals and relevant regulatory authorities as required by applicable law.


11. Disclosure of Personal Information to Third Parties

CUTWORX USA does not sell Personal Information to third parties for monetary consideration. We may, however, disclose Personal Information to the following categories of third parties in connection with the purposes described in this Policy:
Service Providers and Processors: Third parties engaged to perform services on our behalf, including payment processors, shipping carriers, customer relationship management platforms, email service providers, and website hosting providers, each of which is bound by contractual obligations to process Personal Information only as directed by CUTWORX USA and in accordance with applicable law.
Third-Party Data Partners: As described in Section 4.3, CUTWORX USA shares visitor data with business intelligence and lead enrichment platforms, which may include but are not limited to Apollo.io, Leadinfo, ZoomInfo WebSights, and RB2B. The specific platforms active on the Site at any given time are disclosed in Section 4.3 of this Policy. This sharing may constitute a "sale" or "sharing" of Personal Information under the CCPA with respect to California residents, and CUTWORX USA provides the opt-out mechanisms described in this Policy accordingly.
Legal and Regulatory Authorities: We may disclose Personal Information to law enforcement agencies, courts, regulatory bodies, or other governmental authorities where required to do so by applicable law, court order, or regulatory requirement, or where we believe in good faith that such disclosure is necessary to protect the rights, property, or safety of CUTWORX USA, our customers, or the public.
Business Transfers: In the event of a merger, acquisition, reorganization, sale of assets, or similar corporate transaction, Personal Information held by CUTWORX USA may be transferred to the acquiring entity as part of the transaction, subject to the acquiring entity's commitment to honor the terms of this Policy or to provide notice of any material changes to affected individuals.

CUTWORX USA reserves the right to amend, modify, or update this Policy at any time to reflect changes in our business practices, the technologies we deploy, the legal and regulatory landscape, or for any other reason at our sole discretion.
